Authorized Distributor Program

Welcome to the Alto Authorized Distributor program. We are pleased to partner with our customers to maximize both Alto and our Authorized Distributor.s revenue and profit. The program is designed to cooperate with and promote our products through our Authorized Distributor channels. The terms and conditions of this program are as follows:

Alto will provide the following to our Authorized Distributors:

• Listings and referrals of your company at www.altoUSA.com
• Ongoing technical support through our tech hotline and seminars
• Product literature, brochures, and promotional items that can be co branded with your company information
• Your company information on our advertising media in appropriate markets
• Advertising allowance on all approved advertisements co branding or promoting Alto Products
• Preferential supply on new items
• Preferential prices

Qualifications for Authorized Distributors:

• Distributor must represent complete line of Alto clutches (frictions and steels)
• Alto must be primary line on clutches (frictions and steels)
• Majority of purchases must be for resale
• Account must be current and payments made on a timely basis.

This program is subject to change and can be terminated by either party at anytime.
